What every fund or family office asks before joining.

What exactly does the Dharma Seal guarantee?

It guarantees the company has gone through our Phase 1 + Phase 2 process with the 6 criteria verified by our internal committee. It does not guarantee future success or a specific valuation — that depends on the market and your own DD. What it guarantees is that the data you receive is reliable and auditable, and that the company won't break upon transfer to a new owner.

How is the Seal kept active?

Quarterly re-verification while the company is in portfolio. If any of the 6 criteria degrades (key team change, reporting deterioration, new legal gap), it's immediately removed from the pipeline and active interested buyers are notified. No exceptions.

Do you charge the buyer in Network Access (Level 01) deals?

No. Our fees in Level 01 are paid entirely by the seller — monthly retainer during Phase 3 + success fee on closing. You assume no cost for accessing the portfolio or entering a specific deal.

What exactly does "Search Mandate" mean?

It's dedicated buy-side advisory. We define thesis and excluding criteria with you, do proactive outreach to companies that meet them but aren't yet in market, and those accepting exploration enter our Phase 1 + Phase 2 process (co-financed by you as part of the mandate). We charge from €7,500/month fixed retainer + 1-2% on closing, aligned with your outcome.

Is there exclusivity in the Search Mandate?

Yes, by sector and geography for 6-12 months. It wouldn't make sense to invest outreach effort if other buyers competed in parallel for the same companies we discover for you. Parallel mandates in different sectors, possible.

How is confidentiality managed between competing buyers?

Each buyer signs bilateral NDA with the target company before accessing sensitive information. The dataroom has access levels (public / signed LOI / SPA) with audit log. We never share buyer identity with others, nor discuss cross terms.

What if I find a company I'm interested in but the seller isn't ready?

That's exactly the use case for the Search Mandate. The company enters Phase 1 (with or without your co-financing) for diagnosis, and if it fits, Phase 2 for preparation. You get first-look and right of first refusal if you choose to activate it. Average time from not-ready company to sellable company: 6-9 months.

Do you work on deals outside Europe, LATAM or the US?

Selectively. We've closed in Portugal, UK, Mexico, Colombia, Argentina, US (Hispanic buyers) and selective operations in other markets. We coordinate with local lawyers in each jurisdiction. If your mandate is very geography-specific and our pipeline doesn't cover it, we'll say so on the first call.

How long does activation take?

Initial registration (Level 01) takes 5 minutes via chat. Internal verification (source of funds, active mandate, deal history if applicable) takes minimum 72 hours, up to 7 business days depending on profile complexity. After verification, first criteria session in less than a week.

Can I combine service levels?

Yes. Common pattern: start in Level 01 (Network Access) for 60-90 days to validate pipeline fit with your thesis. If it works, scale to Level 02 (Mandate) in a specific sector. Level 03 (on-demand DD) is orthogonal — use it whenever you need, independent of your main level.
